Terms and Conditions

Definitions

  • “Auditor” refers to Robbert Zijlstra, MA LLM MBA, operating under the brand “IP/AI Audit”.

  • “Client” refers to any natural or legal person engaging the Auditor for services.

  • “Audit” refers to the behavioural-first risk assessment regarding intellectual property and artificial intelligence use, including interviews, observations, legal mapping, and reporting.


Applicability

These Terms apply to all services provided by the Auditor, unless explicitly agreed otherwise in writing. By commissioning the audit, the Client accepts these Terms without reservation.


Scope of Services

The Auditor provides professional audit and advisory services focused on IP, AI governance, and legal compliance. No implementation, legal representation, or technical configuration is performed.


Integrity and Screening

The Auditor holds a valid Certificate of Conduct (Code 55 VOG)issued by the Dutch Ministry of Justice, authorising legal advisory activities under government-approved standards of integrity.
The Auditor is not listed on any international sanction or Interpol Watchlist.


On-site Execution & Data Handling

To safeguard confidentiality and data security:

  • All audits are conducted exclusively on-site at the Client’s premises, including reporting and interviews.

  • No documents, notes, or digital data are stored outside the Client’s infrastructure.

  • The Auditor will not transmit or retain any client data beyond the on-site engagement.


Data Destruction

All data, notes, drafts, or audio recordings made during the audit will be fully deleted or destroyed within 14 days after final delivery of the report, unless legal retention obligations apply.


Confidentiality

The Auditor shall treat all information accessed during the audit as strictly confidential. No findings or references will be disclosed to third parties without prior written consent from the Client.


Fees and Invoicing

Fees are determined per assignment and communicated separately in a written offer or agreement. All invoices must be paid within 14 days of the invoice date. Late payments may result in suspension of services.


Liability

The Auditor shall exercise due care in performing the audit but cannot be held liable for:

  • Any business decisions made by the Client based on audit findings,

  • Indirect or consequential damages,

  • System failures, third-party tool behaviours, or AI model output.
    Total liability is limited to the invoiced amount for the audit in question.


Intellectual Property

All audit formats, frameworks, templates, and materials used remain the exclusive intellectual property of the Auditor and may not be reproduced, distributed, or adapted without prior written approval.


Legal Entity

Until the legal incorporation of IP/AI Audit EOOD, the Auditor operates in a personal capacity. Upon formal registration, all agreements will automatically transfer to the EOOD without need for further consent.


Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with Dutch law. Any disputes shall be exclusively submitted to the competent court in Amsterdam, the Netherlands, unless otherwise agreed in writing.


Amendments

The Auditor reserves the right to update or revise these Terms. Clients will be notified of any material changes before they take effect.
